These Terms & Conditions ("Terms", "Terms and Conditions") govern your access to and use of the ZuzyCart website, Progressive Web App (PWA), application, and related services (collectively, the "Platform" or "Service").

By accessing, registering for, or using ZuzyCart, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, please do not use the ZuzyCart Service.

What ZuzyCart Does

ZuzyCart is a local-commerce marketplace/platform that connects customers with participating local merchants and stores.

Through ZuzyCart, customers may:

• Discover nearby stores
• Browse products offered by participating merchants
• Add products to a cart
• Place orders
• Choose available store pickup options
• Choose merchant-controlled delivery where offered
• View order status
• Communicate with merchants regarding orders
• Access their order history

Important

ZuzyCart is currently a platform connecting customers and participating merchants.

The products displayed on the Platform are offered by the respective participating merchants.

Unless expressly stated otherwise, ZuzyCart does not manufacture, own, stock, or sell the products displayed by merchants.

Merchant as Seller

The participating merchant is responsible for the products and the sale of those products to customers.

The merchant is generally responsible for:

• Product availability
• Product description
• Product quality
• Product quantity
• Applicable product information
• Pricing
• Packaging
• Order preparation
• Pickup readiness
• Merchant-controlled delivery, where offered
• Applicable returns, replacements, refunds, and cancellations
• Compliance with applicable laws relating to products sold by the merchant

ZuzyCart provides the technological platform through which customers can discover and order products from participating merchants.

Eligibility

You must provide accurate information when using ZuzyCart.

By using the Platform, you represent that:

• The information you provide is accurate and current.
• You will use the Platform only for lawful purposes.
• You will not misuse the Platform.
• You will not use another person's account without authorization.
• You will comply with these Terms and applicable laws.

If you are not legally capable of entering into a binding agreement under applicable law, you should not use the Platform except through a legally authorized parent, guardian, or representative where permitted.

Creating a ZuzyCart Account

Certain ZuzyCart features require an account.

Currently, customers may create or access their account using Google Sign-In.

ZuzyCart does not currently use mobile-number OTP as the primary login method.

You may be required to provide your mobile number separately for order-related communication and service purposes.

You are responsible for:

• Maintaining the security of your account
• Providing accurate information
• Not sharing unauthorized access to your account
• Informing ZuzyCart if you believe your account has been compromised

You remain responsible for activity carried out through your account unless caused by unauthorized access that is not attributable to your actions or negligence.

Products and Product Information

Merchants are responsible for providing accurate information about their products.

Product information may include:

• Product name
• Description
• Price
• Quantity
• Unit
• Images
• Brand
• Availability
• Applicable product information

Product images are provided for representation and may not always exactly reflect the actual product, packaging, size, or appearance.

Product availability may change without prior notice.

A product displayed on the Platform does not necessarily guarantee that the product will remain available until an order is successfully accepted and confirmed.

Prices

Prices displayed on ZuzyCart are provided by participating merchants.

Prices may change from time to time.

Before placing an order, you should review:

• Product price
• Quantity
• Applicable charges
• Delivery charges, where applicable
• Other applicable charges
• Total order amount

The final amount applicable to your order will be shown during the ordering process where the Platform supports such calculation.

Where applicable, taxes and other legally required charges will be displayed or handled according to applicable law and the merchant's obligations.

Placing an Order

When you place an order through ZuzyCart, you are submitting a request to purchase the selected products from the relevant merchant.

An order is not necessarily considered finally accepted merely because you have submitted it.

The merchant may need to confirm the order based on:

• Product availability
• Store operating status
• Quantity availability
• Order conditions
• Other legitimate operational reasons

If an order cannot be fulfilled, the customer should be informed and any applicable amount paid for that order should be handled according to the applicable payment, cancellation, and refund arrangements.

Order Confirmation

After placing an order, ZuzyCart may provide an order confirmation or order reference.

An order confirmation may contain:

• Order number
• Merchant
• Products
• Quantity
• Price
• Order total
• Pickup or delivery information
• Order status

Customers should retain their order reference until the order is completed.

Payment

Under the current ZuzyCart business model, the customer pays the participating merchant directly.

The customer does not pay the purchase amount to ZuzyCart as the seller of the merchant's products.

Depending on the merchant's available payment methods, payment may be made through methods such as:

• Cash
• UPI
• Card
• Other payment methods accepted directly by the merchant

ZuzyCart may record order and payment-status information necessary to operate the Platform.

ZuzyCart does not require customers to provide confidential credentials such as:

• UPI PIN
• ATM PIN
• Banking password
• Card PIN
• Google password

Customers should never provide these credentials to ZuzyCart, a merchant, or another person through order notes or customer-support communications.

ZuzyCart Merchant Commission

ZuzyCart may charge participating merchants a commission, platform fee, service fee, or other agreed commercial charge.

The merchant's payment of such commission or fee to ZuzyCart is a separate commercial arrangement between ZuzyCart and the merchant.

The merchant commission does not mean that ZuzyCart receives the customer's purchase money as the seller of the merchant's products.

Store Pickup

Where store pickup is available, customers may choose to collect their order from the participating merchant.

The customer may be required to provide:

• Order number
• Order confirmation
• Other reasonable order-identification information

Customers should collect their orders during the applicable pickup period communicated by the merchant.

The merchant is responsible for preparing the order for pickup.

Merchant-Controlled Delivery

ZuzyCart currently supports merchant-controlled delivery where a participating merchant chooses to provide delivery.

The merchant is responsible for arranging and managing its own delivery.

ZuzyCart does not currently operate an independent ZuzyCart-owned rider network.

Delivery availability may depend on:

• Merchant delivery area
• Merchant operating hours
• Product availability
• Delivery capacity
• Customer location
• Weather
• Traffic
• Other operational circumstances

Applicable delivery charges, if any, should be communicated to the customer before completion of the order where required.

Delivery Address and Location

Customers are responsible for providing accurate delivery information.

If the delivery address or information provided is incorrect, incomplete, or inaccessible, the merchant may be unable to complete delivery.

ZuzyCart may use location information to provide location-based functionality such as:

• Finding nearby stores
• Determining available merchants
• Supporting delivery-related functionality
• Improving location-based service accuracy

Use of location information is described in the ZuzyCart Privacy Policy.

Order Cancellation

Cancellation availability may depend on:

• Order status
• Merchant acceptance
• Product preparation status
• Pickup status
• Delivery status
• Merchant policy
• Applicable law

If cancellation is available, the customer may request cancellation through the Platform or the applicable support channel.

Once an order has been prepared, dispatched, or otherwise processed, cancellation may not always be possible.

Where an amount has already been paid and cancellation/refund is applicable, the refund will be handled according to the applicable payment method, merchant policy, and applicable law.

Returns, Refunds and Replacements

Because products are sold by participating merchants, the applicable merchant is responsible for handling returns, refunds, replacements, and product-related complaints, subject to applicable law.

Return or replacement eligibility may depend on the nature of the product.

Certain products may have restrictions because of:

• Perishability
• Food safety
• Hygiene
• Product condition
• Expiration
• Applicable law

Nothing in these Terms is intended to remove or restrict any consumer right that cannot lawfully be excluded or restricted.

Where ZuzyCart provides a customer-support mechanism for a return, refund, replacement, or complaint, ZuzyCart may assist in communicating between the customer and merchant.

Incorrect, Damaged, Missing or Defective Products

If you receive:

• A wrong product
• A missing product
• A damaged product
• A defective product
• A product that materially differs from the order

you should report the issue as soon as reasonably possible through the available ZuzyCart support channel or the applicable merchant.

You may be asked to provide:

• Order number
• Description of the issue
• Photographs or other evidence where appropriate
• Relevant product information

The matter will be reviewed according to the applicable merchant policy and applicable law.

Product Quality and Safety

Merchants are responsible for ensuring that products they sell comply with applicable laws and requirements.

ZuzyCart does not independently manufacture or inspect every product listed by every merchant.

Customers should review product information before purchasing.

For products requiring special handling, storage, or usage instructions, customers should follow the applicable product instructions.

Nothing in these Terms limits rights available to consumers under applicable law.

Customer Responsibilities

When using ZuzyCart, you agree that you will not:

• Use the Platform for unlawful purposes.
• Provide false or misleading information.
• Create fraudulent accounts.
• Impersonate another person.
• Attempt to access another user's account.
• Abuse promotional offers.
• Place fraudulent or intentionally false orders.
• Use the Platform to harass merchants or other users.
• Upload unlawful or harmful material.
• Attempt to interfere with the Platform.
• Attempt to bypass security controls.
• Introduce malicious software or code.
• Scrape or copy Platform content without authorization.
• Reverse engineer the Platform except where permitted by applicable law.
• Use automated systems to abuse the Platform.
• Attempt to manipulate ratings, reviews, or other Platform features.

Reviews and User Content

Where ZuzyCart allows customers to submit reviews, ratings, photographs, comments, or other content ("User Content"), you are responsible for the content you submit.

You must not submit content that:

• Is false or deliberately misleading
• Is defamatory
• Is abusive or threatening
• Contains unlawful material
• Violates another person's privacy
• Infringes intellectual property rights
• Contains malicious software
• Promotes illegal activity
• Is unrelated to the relevant product or service

By submitting User Content, you grant ZuzyCart a non-exclusive, royalty-free, worldwide license to host, display, reproduce, and use that content for operating and improving the Platform, subject to applicable law.

ZuzyCart may remove User Content that violates these Terms or applicable law.

Intellectual Property

The ZuzyCart Platform and its original content, design, branding, logos, software, text, graphics, interfaces, and other materials are owned by or licensed to ZuzyCart unless otherwise stated.

You may use the Platform only for its intended purpose.

You may not reproduce, modify, distribute, sell, lease, publicly display, or commercially exploit ZuzyCart's intellectual property without appropriate authorization.

Merchant trademarks, product names, images, and other third-party materials remain the property of their respective owners.

Promotions, Discounts and Offers

ZuzyCart or participating merchants may occasionally provide:

• Discounts
• Coupons
• Promotional offers
• Store-specific offers
• Referral benefits
• Other promotional programs

Promotions may have separate terms and conditions.

ZuzyCart or the relevant merchant may modify or discontinue a promotion where permitted by applicable law.

Promotions must not be used fraudulently or in violation of their applicable terms.

Availability of the Platform

We aim to keep ZuzyCart available and functioning reliably, but we do not guarantee that the Platform will always be:

• Available
• Uninterrupted
• Error-free
• Completely secure
• Free from technical problems

The Platform may occasionally be unavailable because of:

• Maintenance
• Updates
• Technical problems
• Network failures
• Security incidents
• Third-party service interruptions
• Events outside our reasonable control

Third-Party Services

ZuzyCart may rely on third-party services for functions such as:

• Authentication
• Hosting
• Cloud infrastructure
• Communication
• Maps or location services
• Security
• Notifications
• Other technical services

Your use of third-party services may be subject to their own terms and policies.

ZuzyCart is not responsible for independent services operated by third parties.

Account Suspension or Termination

ZuzyCart may suspend or terminate access to an account or the Platform where reasonably necessary, including when:

• Fraudulent activity is suspected.
• The Platform is being abused.
• The account is being used unlawfully.
• Security is threatened.
• Required by law.
• Continued access could harm ZuzyCart, merchants, customers, or other users.

Where appropriate and legally permissible, we may provide notice before taking action.

Termination of an account does not remove obligations that arose before termination.

Disclaimer Regarding Merchant Transactions

ZuzyCart provides the technology and marketplace environment connecting customers and participating merchants.

The merchant remains responsible for the products it sells and the fulfillment of accepted orders.

However, nothing in these Terms is intended to exclude or limit any responsibility that ZuzyCart may have under applicable law.

Nothing in these Terms limits any statutory consumer rights that cannot legally be waived.

Limitation of Liability

To the maximum extent permitted by applicable law, ZuzyCart will not be responsible for indirect, incidental, special, or consequential losses arising from use of the Platform where such exclusion is legally permitted.

This may include losses resulting from:

• Temporary Platform unavailability
• Third-party service interruptions
• Merchant actions
• Incorrect information supplied by customers
• Events outside our reasonable control

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

Force Majeure

ZuzyCart and participating merchants will not be responsible for delays or failures caused by circumstances beyond reasonable control.

Such circumstances may include:

• Natural disasters
• Severe weather
• Floods
• Fire
• Government actions
• Public emergencies
• Network failures
• Internet outages
• Strikes
• Transportation disruptions
• Security incidents
• Other events beyond reasonable control

Changes to the Service

ZuzyCart may modify, update, suspend, or discontinue features of the Platform from time to time.

Changes may include:

• New features
• Removal of features
• Changes to the interface
• Changes to ordering functionality
• Changes to merchant services
• Changes to pickup or delivery functionality

We may update these Terms when necessary to reflect material changes.

Changes to These Terms

We may update these Terms from time to time.

When we make material changes, we may update the "Last Updated" date and provide additional notice where appropriate.

Your continued use of ZuzyCart after updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

If you do not agree with updated Terms, you should stop using the Service.

Governing Law

These Terms are governed by the laws applicable in India.

Subject to applicable consumer-protection laws and jurisdictional requirements, disputes relating to these Terms or the ZuzyCart Platform shall be subject to the jurisdiction of the competent courts having jurisdiction over Mangalore, Karnataka, India.

Nothing in this clause is intended to prevent a consumer from exercising any statutory right to approach a competent consumer authority or forum available under applicable law.

Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the extent necessary to make it enforceable, and the remaining provisions will continue to apply.

Entire Agreement

These Terms, together with the ZuzyCart Privacy Policy and any additional terms applicable to particular services or promotions, constitute the agreement governing your use of the ZuzyCart Platform, except where additional contractual terms apply.
